Promise Of Purchase Agreement

Stefan Mudry, German citizen, of legal age, married, with Panamanian identity card E-8-126409, living in the house opposite to the church of Garnadera, in the Las Palmas district, Province of Veraguas is acting on his condition as president, legal representative and general representative of the Panamanian corporation “Finca Bayano Management, SA”. He is authorized to sign the the present Promise Of Purchase Agreement according to the power 34687/2019. “Finca Bayano Management, SA” has been registered under Micro Jacket 155675265 at the Panamanian Public Register and is hereinafter referred to as the “Promissory Seller”. 

….., British citizen, of age, single, with passport ….., resident in ……  is hereinafter referred to as the “Promissory Buyer”.

The building lot/agricultural lot with the number ….. is hereinafter referred to as “the Lot”.

The “Promissory Seller” and the “Promissory Buyer” sign the present Promise Of Purchase Agreement in accordance with the following clauses:

First: The Promissory Seller is the sole owner of Finca Bayano, which consists of the properties 13131, 13144, 13145, 30208078, 30208084, 30208131, 30204586, 30204606, 30204559 and 30204539, all duly recorded under document one (1), location code 9408, located in Lolá, District of Las Palmas, Province of Veraguas and registered at the property section of the Public Registry. At the time of signing this Promise Of Purchase Agreement, the segregation of Finca Bayano has not been completed and the land has not yet been officially registered. If there is any discrepancy between the size of the Lot and the values stated in this Promise Of Purchase Agreement, the price of the Lot will be adjusted accordingly.

Second: The Promissory Seller hereby promises to sell to the Promissory Buyer the Lot with an area of ….. (in words) square meters, after segregating it from the properties mentioned in the first section of this Promise Of Purchase Agreement for the amount of US$ ….. (US dollars in words). The creek bank with an area of ….. (in words) square meters is part of the Lot. Waterfront areas, like creek banks, are state-owned in Panama and cannot be sold. The water of the creek may be used, but there must be a minimum flow to other properties. The creek bank runs parallel along the creek at a distance of ten meters and consists of two zones that must not be fenced:

  1. The zone at a distance of three meters parallel to the creek bed is considered a protected zone, which is a part of  the creek.
  2. The zone at a distance between three to ten meters parallel to the creek bed is also considered a protected zone. Trees can be planted here.

No construction work may be carried out on the creek bed and no trees may be felled. Dams may be built with a permit of the environmental protection authority “Mi Ambiente”.

The Promissory Seller will not assign, transfer, sell or otherwise dispose of the Lot to third parties and is forced to meet the terms of the present Promise Of Purchase Agreement irrevocably. The Promissory Buyer will buy the Lot at the above mentioned sum and will pay  ….. monthly installments of US$ ….. (US dollar in words) to the Promissory Seller. As soon as the Promissory Buyer has paid the above mentioned sum, the Promissory Seller will undertake the necessary transactions to register the Lot in the Public Registry of Panama in favor of the Promissory Buyer. The following arrangement is made to hedge against inflation: If the gold price rises above US$ 1,500 (one thousand five hundred US dollars) per ounce, the monthly installment will be ….. ounces (number of ounces of gold in words) of gold or its equivalent in US dollars. 

Third: To register the Lot, the Promissory Seller will pay the real estate transfer tax of two percent and the capital gain tax of three percent of the sales price. The Promissory Buyer will receive a plan of the registered Lot and a certificate that the Lot is free of any encumbrances. The registration of the Lot in the name of the Promissory Buyer, may not be expected before ………. The notary costs and all other fees incurred in connection with the purchase and registration of the Lot will be paid by the Promissory Buyer.

Fourth: The Promissory Seller will manage the Lot for at least two years after signing the present Promise Of Purchase Agreement. The Promissory Buyer may end the management at any time and dispose of the Lot in order to manage it himself or have it managed by third parties.

Fifth: The management of the Lot includes a connection to water for irrigation (not drinking water), a connection to electricity, the construction of the paths and the fencing of Finca Bayano. Furthermore, the Promissory Seller will plant fruit trees, bananas, yuca plants, bamboo and other native species on the property.

Sixth: The Promissory Seller will inform the Promissory Buyer of the condition of the Lot at the end of each calendar year, unless the Promissory Buyer lives at Finca Bayano. This information consists of a short report by electronic mail with photos.

Seventh: The Promissory Seller excludes any responsibility for damages due to force majeure. This includes natural disasters and unforeseeable events.

Eighth: If any provision of the present Promise Of Purchase Agreement is invalid under the laws of Panama, the Agreement as a whole shall not be invalid, but shall be construed as not containing the invalid provision or provisions. In such a case, the rights and obligations of the parties shall be interpreted and complied with in the manner prescribed by Panamanian law.

Ninth: The coordinates of the property are according to Google Earth:
The coordinates of the Lot will be inserted here in the sales contract.

Tenth: The Promissory Seller and the Promissory Buyer declare that any dispute or controversy, related to the present Promise Of Purchase Agreement, as well as the interpretation, implementation, execution and termination thereof, shall be resolved by ordinary justice, in accordance with the laws of the Republic of Panama.

Eleventh: The fact that either Promissory Seller or Promissory Buyer allow one or more times, that the other imperfectly fails or acts otherwise than agreed, or does not insist on exact compliance with such obligations or timely exercise of contractual rights or the corresponding legal ones will not be construed as an intention of wanting to amend this contract.

Contrato De Promesa De Compraventa

Stefan Mudry, varón, de nacionalidad alemana, mayor de edad, casado, portador de la cédula de identidad personal número E-8-126409, con domicilio ubicado en la casa al lado de la Iglesia, en la Comunidad de Garnadera, Corregimiento de Lolá, Distrito de Las Palmas, manifiesta que no necesita interprete por entender bien el idioma español y, a partir de este momento, se denominará el “Promitente Vendedor”. Stefan Mudry es Presidente, Representante Legal y Apoderado General de “Finca Bayano Management, S.A.”, sociedad anónima panameña debidamente inscrita en el Folio número 155 675 265, de la Sección Mercantil del Registro Público de Panamá, con domicilio ubicado en la Oficina número 1, en la Planta Alta del Edificio Don Lucho, en Santiago, actuando en virtud del Poder General, el cual se encuentra en el Pacto Social, contenido en la Escritura Pública número 422 de la Notaria Pública Segunda del Circuito de Coclé, que se presentó el día 29 de enero del 2019 al Registro Público de Panamá, mediante la entrada número 34687 del 2019, y quedó debidamente inscrita el día 30 de enero del 2019.

(Nombre  del “Promitente Comparador”) ………, hombre, de nacionalidad alemana, mayor de edad, soltero, portador del pasaporte número (……….), actuando en su propio nombre y representación, manifiesta que no necesita interprete por entender bien el idioma español y se denominará a partir de este momento el “Promitente Comprador”.

El lote de construcción/ lote agropecuario con el número ………. en lo sucesivo se conocerá como el “Lote”.

El “Promitente Comprador” y el “Promitente Vendedor” han acordado firmar el presente “Contrato De Promesa De Compraventa” sujeto a los siguientes términos y condiciones:

Primero: El Promitente Vendedor es propietario de los bienes identificados en el Folio Real con los números 13131, 13144, 13145, 30208078, 30208084, 30208131, 30204586, 30204606, 30204559 y 30204539, la superficie completa  de la Finca Bayano, todas debidamente registradas bajo el documento uno(1), código de ubicación 9408, situado en Lolá, Distrito de Las Palmas, Provincia de Veraguas inscritas en la sección de propiedad del registro público, que mide los límites, la superficie y otros detalles inscritos en el registro públicoDeclara el Promitente Vendedor, y así lo acepta el Promitente Comprador, que al momento de la firma del presente contrato, el Lote no se ha medido y segregado oficialmente, por lo que los valores de las coordenadas están sujetos a cambios hasta que sea debidamente segregado e inscrito en el Registro Público. Si al medir, el Lote surge una discrepancia con relación a los valores actuales, el precio de venta será ajustado proporcionalmente, ya sea reduciéndo o aumentándo el monto, estando conformes las partes en virtud de lo aquí expresado previo convenimiento con El Promitente Comprador.

Segundo: Declara el Promitente Vendedor que se obliga a vender a el Promitente Comprador, el Lote número ………. con una superficie de ….. metros cuadrados, (superficie en palabras) segregada de la fincas descritas en la primer cláusula, por el monto de US$ ….. (dólares estadounidenses en palabras) y acepta que no cederá, transferirá, venderá ni dispondrá de ninguna otra forma del Lote a terceros y se verá obligado a cumplir de manera irrevocable los términos del presente Contrato de Promesa de Compraventa. El Promitente Comprador declara comprar el Lote al precio mencionado y lo pagará en ……. (número de letras) letras mensuales de US$ …..(dólares estadounidenses en palabras) empezando el ….. a la cuenta del Promitente Vendedor. Tan pronto como el Promitente Comprador haya pagado la suma de US$…… (dólares estadounidenses en palabras) al Promitente Vendedor, el Promitente Vendedor hará todos los arreglos para transferir el Lote al nombre del Promitente Comprador. Con el fin de protegerse contra la inflación, se hace la siguiente regulación: si el precio del oro supera los US$1.500 (mil quinientos dólares estadounidenses) por onza, la letra mensual será de …… onzas (cantidad de onzas de oro en palabras) de oro o su equivalente en dólares estadounidenses.

El Lote consta de la parcela de construcción y la zona de la orilla de la quebrada, la servidumbre pluvial. La parcela de construcción tiene una superficie de…… (en palabras) metros cuadrados; y la servidumbre pluvial tiene una superficie de …… (en palabras) metros cuadrados. En Panamá, las áreas frente al agua son propiedad del estado y no pueden ser vendidas. El agua puede ser utilizada, pero un mínimo debe seguir fluyendo hacia otras fincas.

La servidumbre pluvial discurre paralela al cauce de la quebrada a una distancia de diez metros y consta de dos zonas, las que no pueden ser cercadas:

  1. La zona a una distancia de tres metros paralela al cauce de la quebrada es parte de la quebrada, y se considera una reserva natural.
  2. La zona a una distancia de tres a diez metros paralela al cauce de la quebrada también se considera una reserva natural. Allí se puede plantar árboles.

No podrán realizarse obras de construcción en las servidumbres pluviales ni talarse árboles. Las represas se pueden construir con un permiso de excepción de la autoridad de protección ambiental “Mi Ambiente”.

Tercero: Declara el Promitente Vendedor que por su cuenta, correrá el pago del 2% de la transferencia de bien inmueble y el pago del 3% de la ganancia de capital. Declara el Promitente Vendedor que entregará al Promitente Comprador el plano del globo de terreno que se segregará de la fincas descritas en la primer cláusula, debidamente aprobado por las autoridades nacionales, correspondientes y también le entregará los certificados de paz y salvo de bien inmueble. No se contará con la finalización del registro antes del ……….. Declara Promitente Comprador que por su cuenta, correrá el pago de la confección de la minuta, la emisión de la escritura pública de la Notaria y los gastos de inscripción en el Registro Público de Panamá.

Cuarto: El Promitente Vendedor se obliga a mantener y cultivar el Lote por un período mínimo de dos años o deja hacer el mantenimiento por un tercer partido. El Promitente Comprador puede cancelar el mantenimiento en cualquier momento para utilizar el Lote o dejar que un tercer partido haga el mantenimiento.

Quinto: El desarrollo del Lote contiene importes globales para las conexiones de agua, de electricidad, de caminos así como para cercar la Finca Bayano. Por otra parte, el Promitente Vendedor plantará árboles frutales, plátanos, plantas de yuca, bambú y otras especies autóctonas de la región en el Lote.

Sexto: El Promitente Vendedor se compromete a informar al Promitente Comprador al final de cada año sobre el desarrollo y el estado del Lote, si el Promitente Comprador todavía no habita en la Finca Bayano. Esta información contiene un breve informe por correo electrónico con registro fotográfico.

Septimo: El Promitente Vendedor excluye cualquier responsabilidad por los daños resultantes de fuerzas exteriores, casos fortuitos o de fuerza mayor, relacionados con desastres naturales de todo tipo e incidentes imprevisibles por el hombre.

Octavo: En caso de que en alguna de las cláusulas de este contrato exista una laguna, no se afectará la validez de las otras cláusulas, tendrá valor en este caso la o las cláusulas que más se acerque o acerquen a la posible solución del caso en particular apegado a la finalidad del contrato. Las partes quedan conformes con cada una de las cláusulas contenidas en el presente contrato de compra-venta, sin tener nada que agregar firman.

Noveno: Las coordenadas del Lote son según Google Earth:

En el contrato se ponen en este lugar las coordinadas.

Décimo: El Promitente Vendedor y el Promitente Comprador declaran que aceptan todas las cláusulas del Contrato de Promesa de Compraventa y que cualquier disputa o controversia relacionada con este Contrato, su interpretación, cumplimiento, ejecución y terminación será resuelta por jurisdicción ordinaria de acuerdo con las leyes de la República de Panamá.

El hecho de que el Promitente Vendedor o el Promitente Comprador permitan una o más veces, que la otra falle imperfectamente o actúe de otra manera que lo acordado, o no insista en el cumplimiento exacto de tales obligaciones o el ejercicio oportuno de los derechos contractuales o los correspondientes legales no se interpretará como una intención de querer enmendar este contrato.
